                                    AUTHORIZATION TO REPRODUCE VOICE AND PHYSICAL LIKENESS

 

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by the undersigned from ____________________________ ("Company"), I, the undersigned, hereby irrevocably assign to Company, its subsidiaries, affiliates, licensees, assignees and designees: (a) the exclusive and perpetual right throughout the world to reproduce, print, publish and disseminate, in any medium whatsoever, my name, including any and all professional names heretofore or hereafter used by me, portraits, pictures, voice, likeness and any biographical information concerning me, in connection with or related to, directly or indirectly, any services and/or performances rendered by me at any time in connection with or as part of the creation and/or production of the audiovisual recording(s) which embody the musical recording(s) and performances of, or relate to, the artist p/k/a _____________________________ (individually and collectively the "Video") for the purposes of trade and otherwise, without restriction, including, without limitation, in connection with advertising and publicity; and (b) the exclusive and perpetual right throughout the world to record, film, tape, videotape, photograph, broadcast and transmit, by any means now known or hereafter devised, all or any portion of the services and performances rendered by me at any time in connection with or as part of the creation and/or production of the Video, and to reproduce, manufacture, distribute, exploit or otherwise use the same in any manner whatsoever including, without limitation, use on or in connection with, (i) broadcasts, telecasts or other transmissions in any media, including radio and television, and (ii) motion pictures, and any other method, means or media, whether now known or hereafter devised. (In the event that I am a minor child, this release shall not be effective unless signed where indicated below by my parent or legal guardian.)

                  Without limitation of the foregoing, all right, title and interest in and to all of the results and proceeds of the services and performances rendered by me at any times in connection with or as part of the creation and/or production of the Video, including, without limitation, all photographs, recordings, master recordings, broadcasts, transmissions, tapes and motion pictures thereof or any portion thereof and any items manufactured, compiled or derived therefrom shall from the inception of creation thereof be the sole property of Company, free from any claims whatsoever by me or any other person. In this connection, the undersigned hereby acknowledges and agrees that (a) from the inception of production, the Video will be considered a "work made for hire" for Company, and will be deemed transferred to Company by this agreement, together with all rights in it, if it is determined not to be such a "work made for hire"; and (b) Company shall have the exclusive right throughout the world to copyright any of the foregoing in Company's name as the owner and author thereof and to secure any and all renewals and extensions of such copyright. Company shall have the unlimited perpetual right throughout the world to sell, market, transfer or otherwise deal in any of the foregoing under any trademarks, trade names and labels, or to refrain from such manufacture, sale and dealing.

I represent and warrant that (a) I am free to enter into this agreement and to grant the rights granted herein and (b) any material that I furnish, present and/or perform in connection with the Video or the advertising or promotion thereof, shall not infringe upon or violate any law or infringe on any third party’s rights.
